    Copel (CPLE6) reported yesterday that the Board of Directors (CAD) has approved the submission for consideration at the Company's 210th Extraordinary General Meeting, scheduled for April 22, 2024, of the Company's “Company Restricted Stock and Restricted Stock Award Plan” (CPLE6). This plan is intended for directors and employees of the company and its subsidiaries.

    The aim of the plan is to improve remuneration practices for members of the company's legal bodies and key employees, with the aim of:

    • Aligning senior management compensation with COPEL's long-term objectives;
    • Linking part of the rewards to value creation for the company;
    • Promoting a culture of meritocracy and high performance;
    • Retain and attract new talent.

    COPLE (CPLE6)

    The plan provides for two types of restricted stock awards, subject to grace periods, limitations and other conditions:

    • Performance measures associated with performance objectives and other terms and conditions set forth in the plan and in applicable programs and award contracts; that it
    • Restricted Stock, which is also subject to grace periods, restrictions and other conditions as set forth in the Plan and in applicable programs and award contracts.

    Within the scope of the plan, which will be administered by the Board of Directors with the support of the People's Committee, the dilution limit is up to 1.0% of the company's total capital, with up to 0.2% allocated to restricted shares and up to 0.8% allocated to performance shares.
